Company Agreements & Software Responsibilities

AGREEMENTS & DIGITAL SIGNATURES

Review the company software licensing contract and the responsibilities applicable to company administrators, authorized EFIN holders, and individual PTIN preparers. Each document must be signed by the correct authorized person. An account or signature alone does not grant software, licensing, or IRS filing permission.

All five agreements are available to read and print. Digital signing is locked until Noble verifies the signer, company registration approval, active software license, applicable role, and the agreement version recorded by the backend.

Required Agreements

Noble Administration publishes and controls agreement versions. Staff members must sign their own applicable responsibilities.

Software License & Subscription Agreement

NOBLE LIBERTAS VI CORPORATION — SOFTWARE LICENSE & SUBSCRIPTION AGREEMENT 1. PARTIES AND SCOPE. This agreement is between Noble Libertas VI Corporation ("Noble"), provider of the Noble Libertas Tax Pro software division, and the subscribing tax preparation business identified in its approved registration. Noble grants only the limited access rights established by the executed contract and assigned license. 2. LICENSE; OWNERSHIP. Subject to an active subscription, payment, verification and compliance, Noble grants a limited, nonexclusive, nontransferable right to access the software for the subscriber's authorized internal tax preparation operations. Noble and its licensors retain all rights to software, source code, branding and intellectual property. No ownership is conveyed. 3. SUBSCRIPTION AND FEES. Applicable plan, included user capacity, return allowances, additional charges, payment dates and renewal terms are those agreed upon in the subscriber's approved order. Every newly registered PTIN holder, including a replacement, owes the separately established annual PTIN registration fee. Company obligations to recover employee-related charges do not transfer liability to Noble. 4. AUTHORIZED USERS. Subscriber must identify and maintain authorized company administrators, EFIN holders and PTIN preparers; prohibit account sharing; secure credentials; promptly terminate former staff access; and ensure each person acts solely within their approved role. 5. TAX PRACTICE RESPONSIBILITIES. Subscriber remains independently responsible for taxpayer engagement, client consent, accurate return preparation, compliance with applicable tax laws, confidentiality, verification of EFIN/PTIN credentials, and obtaining and retaining required taxpayer signatures and authorizations. Noble does not become a taxpayer's engagement party solely by licensing software. 6. IRS E-FILING. A PTIN preparer's submission within the software is a submission for internal EFIN-holder review, not transmission to the IRS. Only a specifically designated and authorized EFIN holder may approve and initiate actual transmission when supported and lawfully enabled. Product descriptions do not guarantee IRS connectivity. 7. SECURITY AND PRIVACY. Subscriber must safeguard taxpayer information, limit access to authorized personnel, report suspected incidents promptly, follow written security procedures and cooperate in remediation. Subscriber must use appropriate administrative, technical and physical safeguards, restrict access to personnel with a business need, and notify Noble promptly of known or suspected unauthorized platform access. Each party must comply with applicable privacy and data-protection obligations. 8. SUSPENSION AND TERMINATION. Noble may suspend access to mitigate a material security risk or unauthorized use, and may suspend or terminate access for material breach or unpaid charges after notice and a reasonable opportunity to cure where appropriate. Upon termination, Subscriber may request export of its records through available platform tools, subject to legal retention, security, and applicable account obligations. Termination does not transfer ownership of the software to Subscriber. 9. WARRANTIES, LIMITATIONS AND DISPUTES. Noble will provide the software services described in the applicable order and published product documentation. Scheduled maintenance, third-party services, regulatory changes, and interruptions may affect availability. Neither party waives rights or remedies that cannot lawfully be excluded. The parties will first attempt in good faith to resolve contract disputes by written notice and direct discussion. Any additional negotiated commercial terms must be included in the applicable signed order or written amendment. 10. EXECUTION. The company representative must have authority to bind the subscribing legal entity. A signature must identify the exact published document version and be retained in Noble's secure acceptance history.

Read the entire agreement before signing. Applicable subscription details must be confirmed in the company’s approved order.
